Alpha Omega Digital Terms & Conditions

These Terms & Conditions govern the provision of services by Alpha Omega Digital (“Alpha Omega Digital”, “we”, “our” or “us”) to our clients (“Client”, “you”, “your”).

By engaging Alpha Omega Digital, accepting a proposal, paying an invoice or using our services, you agree to these Terms.


1. Services

We provide services including, but not limited to:

  • Website Design
  • Website Development
  • WordPress Development
  • Shopify Development
  • Mobile App Development
  • Search Engine Optimisation (SEO)
  • Google Ads Management
  • Meta Advertising
  • Email Marketing
  • Cloud & AWS Consulting
  • CRM Integrations
  • Website Hosting
  • Website Maintenance
  • Technical Consulting

Services will be provided in accordance with the proposal, quotation or service agreement.


2. Quotes & Proposals

Quotes remain valid for 30 days unless otherwise stated.

Any work requested outside the agreed scope may incur additional charges.

Changes requested after project approval may require a revised quotation.


3. Payment Terms

Unless otherwise agreed in writing:

  • Invoices are payable within 7 days.
  • Ongoing monthly services are billed in advance.
  • Project work may require a deposit before commencement.
  • Milestone payments may apply for larger projects.
  • Final payment is required before website launch or transfer of ownership unless otherwise agreed.

Late payments may result in:

  • Suspension of work
  • Suspension of hosting or maintenance services
  • Delay to project completion
  • Debt collection proceedings

Interest may be charged on overdue accounts at the maximum rate permitted by Australian law.

The Client is responsible for all reasonable debt recovery and legal costs associated with overdue invoices.


4. Ownership of Work

Ownership of completed work transfers to the Client only after all invoices have been paid in full.

Until payment is received, Alpha Omega Digital retains ownership of:

  • Source code
  • Website files
  • Graphics
  • Documentation
  • Designs
  • Marketing assets
  • Custom software

5. Third-Party Costs

The Client is responsible for all third-party expenses including but not limited to:

  • Domain names
  • Website hosting
  • Premium plugins
  • Software licences
  • Shopify fees
  • Advertising spend
  • Email services
  • Cloud infrastructure
  • SSL certificates
  • API usage charges

Unless specifically included in writing, these costs are separate from our service fees.


6. Marketing Results

While we apply industry best practices and professional expertise, Alpha Omega Digital does not guarantee any specific marketing or business outcomes.

This includes, but is not limited to:

  • Google rankings
  • Number of enquiries
  • Website traffic
  • Sales
  • Revenue
  • Leads
  • Return on ad spend (ROAS)
  • Cost per acquisition (CPA)
  • Conversion rates
  • Social media growth
  • Email open rates
  • Search engine indexing

Marketing performance depends on many factors beyond our control, including competition, market conditions, search engine algorithms, advertising platforms, budgets, website quality, customer behaviour and changes made by third-party platforms.

Any projections, estimates, forecasts or examples provided are indicative only and are not guarantees of future performance.


7. Google, Meta & Third-Party Platforms

We are not responsible for decisions made by third-party platforms including:

  • Google
  • Meta
  • Microsoft
  • Shopify
  • WordPress
  • Amazon
  • Apple
  • Stripe
  • HubSpot
  • Cloudflare

This includes account suspensions, algorithm changes, advertising policy changes, service outages, pricing changes or feature removals.


8. Search Engine Optimisation

SEO is an ongoing process.

Search rankings may fluctuate due to:

  • Google algorithm updates
  • Competitor activity
  • Technical website issues
  • Website changes
  • Hosting performance
  • Domain history
  • Content quality

No agency can guarantee first-page rankings or specific keyword positions.


9. Advertising

Advertising budgets are paid separately unless otherwise agreed.

We are responsible for campaign management only.

The Client remains responsible for:

  • Advertising budgets
  • Product pricing
  • Stock availability
  • Landing page content
  • Sales process
  • Customer service

Advertising performance may vary over time.


10. Client Responsibilities

The Client agrees to:

  • Provide accurate information.
  • Supply required content promptly.
  • Review work within a reasonable timeframe.
  • Approve milestones when requested.
  • Maintain valid licences for any third-party content they supply.
  • Keep login credentials secure.

Project delays caused by the Client may result in revised delivery dates.


11. Project Delays

If required information is not supplied within 30 days, we may:

  • Pause the project.
  • Reschedule the project.
  • Charge recommencement fees.
  • Invoice completed work to date.

12. Website Acceptance

Unless otherwise agreed, a website is deemed accepted if:

  • The Client approves the work; or
  • The website goes live; or
  • No revision request is received within 14 days of delivery.

Requests after acceptance may be treated as new work.


13. Revisions

Unless stated otherwise in your proposal:

  • Minor revisions are included during development.
  • Additional revisions outside the agreed scope will be charged at our current hourly rate.

14. Intellectual Property

The Client warrants that all supplied content, including images, logos, videos, trademarks and written content, does not infringe any third-party rights.

The Client indemnifies Alpha Omega Digital against any claims arising from supplied content.


15. Hosting

Where we provide hosting:

  • Reasonable maintenance windows may occur.
  • We do not guarantee uninterrupted uptime.
  • Third-party outages are beyond our control.

The Client remains responsible for maintaining backups of important business information unless backup services are expressly included.


16. Limitation of Liability

To the maximum extent permitted by law, Alpha Omega Digital is not liable for any indirect, incidental, special, consequential or economic loss, including loss of profits, revenue, business opportunities, goodwill or data arising from the use of our services.

Where liability cannot be excluded under Australian Consumer Law, our liability is limited to re-supplying the relevant services or paying the reasonable cost of having those services supplied again, at our election.


17. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any rights or remedies that cannot be excluded under the Australian Consumer Law or any other applicable legislation.


18. Confidentiality

Both parties agree to keep confidential any non-public business, commercial or technical information obtained during the course of the engagement, except where disclosure is required by law or with the other party’s written consent.


19. Termination

Either party may terminate ongoing services by providing 30 days’ written notice, unless otherwise agreed in writing.

The Client remains liable for all work completed and expenses incurred up to the termination date.


20. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, internet outages, cyberattacks, government actions, pandemics, industrial disputes or failures of third-party service providers.


21. Governing Law

These Terms are governed by the laws of the State of Victoria, Australia.

Any disputes will be subject to the exclusive jurisdiction of the courts of Victoria.
